Terms of use

These terms apply to the Offword app for Android (the "app") and the website offword.app. Offword is operated by Offword, a sole proprietorship in the United States ("we", "us"). By installing or using the app, you agree to these terms. If you do not agree, do not use the app.

License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control, for personal or internal business use. You may not sell, rent, or redistribute the app, or distribute modified versions of it under the Offword name. Open-source components included in the app are licensed under their own terms, described below, and nothing in these terms limits your rights under those licenses.

Recording laws differ between countries, states, and provinces. Some places allow you to record a conversation you are part of without telling anyone ("one-party consent"). Others require everyone in the conversation to agree ("all-party" or "two-party consent"). Some places also restrict recording in workplaces or private spaces.

You are solely responsible for knowing and following the recording laws that apply to you and to the people you record. When in doubt, tell everyone that you are recording and get their agreement. We do not provide legal advice, and the app does not check whether a recording is lawful.

Acceptable use

You agree not to use the app to:

  • record people secretly or without consent where the law requires it;
  • harass, stalk, threaten, or intimidate anyone;
  • violate anyone's privacy, confidentiality, or intellectual property rights;
  • break any law that applies to you.

Your recordings

Your recordings and transcripts belong to you, or to whoever owns them under applicable law. They are stored on your device and we do not receive them. You are responsible for keeping copies of anything important. If you lose your phone or uninstall the app, your recordings are lost too.

Transcription accuracy

Automatic transcription makes mistakes, especially with background noise, accents, crosstalk, or low-quality audio such as Bluetooth headset microphones. Do not rely on a transcript where errors could cause harm, for example in medical, legal, or safety-critical situations, without checking it against the audio.

The app is currently free. If we offer paid features in the future, they will be described, priced, and governed by additional terms presented before you buy.

No warranty

The app and website are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the app will be error-free, uninterrupted, or that it will record or transcribe every conversation correctly.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, recordings, profits, or goodwill, arising from your use of or inability to use the app. Our total liability for any claim relating to the app is limited to the greater of the amount you paid us for the app in the twelve months before the claim, or 50 US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to be responsible for claims made by others arising from recordings you make with the app, including claims that a recording was made without required consent.

Open-source components

The app is built with open-source software, including:

  • sherpa-onnx, licensed under the Apache License 2.0.
  • Speech recognition models published by the k2-fsa project, each under the license stated in its model repository.

Ending these terms

You can stop using the app at any time by uninstalling it. We may stop offering the app or end your license if you break these terms. Sections that by their nature should continue (such as no warranty and limitation of liability) continue after these terms end.

Governing law

These terms are governed by the laws of the United States and of the state in which Offword is based, without regard to conflict-of-law rules. Nothing in these terms takes away consumer protection rights you have under the laws of the place where you live.

Changes to these terms

We may update these terms. We will post the new version on this page and update the effective date. If a change is material, we will also tell you in the app. Continuing to use the app after a change means you accept the updated terms.
